Condiciones generales de venta en las páginas de eventos para diferentes productos (en lo sucesivo denominadas "páginas web de eventos")

Artículo 1: Objeto
Las presentes condiciones regulan la venta por parte de la empresa Xchange Sport & Event AG de la cuota de inscripción para un evento de participación deportiva organizado por Xchange Sport & Event AG, principalmente pero no sólo para las marcas de carreras de obstáculos Spartan Race de diferentes distancias, formatos y categorías, y eventos Spartan Trail con carreras de diferentes distancias, formatos y categorías) en España y otros servicios relacionados como seguro de carrera, grabado de medallas, merchandising, viajes, hoteles o productos asociados. Xchange Sport & Event AG es el organizador y operador de todos los eventos de Spartan Race y Spartan Trail en España y es la parte contratante a la que usted está comprando los productos y servicios descritos anteriormente. Estos términos y condiciones generales también son aplicables si las compras se realizan a través de plataformas de terceros (por ejemplo, www.maxfunsports.com o activenetwork.com).

Artículo 2: Precio
Los precios de nuestros productos se indican en euros con todos los impuestos incluidos (IVA y otros impuestos aplicables en la fecha del pedido), salvo que se indique lo contrario y a excepción de los gastos de servicio, bancarios y de tarjeta. Estas comisiones se calculan en función del importe total de la compra, incluido el IVA. Los importes correspondientes a estas tasas se añadirán al importe total del pedido antes del pago.

Artículo 3: Pedidos
El cliente puede realizar pedidos únicamente por Internet a través de las páginas web del evento que redirigen a la plataforma de venta www.active.com o maxfunsports.com. La información contractual se presenta en español o en inglés y se confirmará a más tardar en el momento de la compra (sin perjuicio de las disposiciones del artículo 14). La empresa Xchange Sport & Event AG se reserva el derecho de no aceptar el pago, y de no confirmar un pedido por cualquier motivo, y en particular en caso de problemas de suministro, o en caso de dificultad relativa al pedido recibido. El cliente reconoce y acepta que Xchange Sport & Event AG puede cambiar la plataforma de ventas en cualquier momento y sin notificación al cliente. En caso de cambio de la plataforma de ventas, el cliente da su consentimiento para la migración de sus datos de cliente a otra plataforma. La selección de la plataforma de ventas, así como la posterior selección de otra plataforma, queda a discreción de Xchange Sport & Event AG.

Artículo 4: Validación del pedido
Cualquier pedido que aparezca en la página web del evento implica la aceptación de las presentes condiciones. Toda confirmación de pedido implica la plena aceptación por parte del cliente de las presentes condiciones de venta sin excepción ni reserva. Todos los datos proporcionados y las confirmaciones registradas tienen la fuerza de la prueba de la transacción. El cliente declara tener un conocimiento exhaustivo de los términos y condiciones. La confirmación del pedido tiene la fuerza de la firma y la aceptación de las transacciones. Una vez confirmado el pedido, se enviará por correo electrónico un resumen de la información del mismo.

Artículo 5: Pago
El hecho de validar un pedido implica la obligación de pagar el precio mostrado. La forma de pago de las compras depende del país. Todos los eventos organizados por Xchange Sport & Event AG en España se realizan a través de la plataforma de inscripción MaxFun o Active (sin perjuicio de lo dispuesto en el artículo 3). El pago se carga una vez confirmado el pedido. El cliente recibe una confirmación del pedido y una confirmación del mismo. No se permite la anulación no autorizada de un pago a Xchange Sport & Event AG o a uno de sus socios por parte del banco del cliente para un pedido confirmado. Si se realiza una anulación de un pago sin el consentimiento de Xchange Sport & Event AG, deberá pagarse una penalización contractual del 50% del precio de compra, además del precio de compra original.

Artículo 6: Aplazamiento / cancelación de un evento
Xchange Sport & Event AG se reserva el derecho general de posponer, cancelar o modificar los eventos a su entera discreción. Este derecho a posponer, cancelar o modificar el evento se aplica especialmente a -pero no se limita a- situaciones en las que las condiciones meteorológicas sean desfavorables (por ejemplo, calor, lluvia o nevadas, granizo, tormentas eléctricas, tormentas y cualquier otro fenómeno meteorológico, posiblemente sólo local) o cualquier otro factor fuera del control de Xchange Sport & Event AG que pueda afectar negativamente al bienestar, la salud y/o la seguridad de los participantes; en particular cuando la Organización Mundial de la Salud y/o las autoridades nacionales o locales (por ejemplo, Covid-19) identifiquen epidemias o pandemias. La compra de una entrada para un evento organizado por Xchange Sport & Event AG es generalmente no reembolsable e intransferible; incluyendo, pero sin limitarse a ello, las situaciones en las que Xchange Sport & Event AG decida posponer, cancelar o modificar los eventos a su entera discreción o un evento no pueda celebrarse por fuerza mayor o por órdenes oficiales (por ejemplo, desastres naturales, situaciones de pandemia o epidemia, cualquier tipo de prohibición oficial de eventos, etc.). En caso de cancelación o aplazamiento (el aplazamiento se define por el cambio de la fecha del evento en más de 36 horas) de un evento programado para el año natural de 2021 (fecha del evento entre el 01.01.2021 y el 31.12.2021), Xchange Sport & Event AG proporcionará al cliente un vale intransferible para una entrada de carrera para otro evento. El cliente podrá canjear este vale por una entrada de carrera para un evento de la misma marca y formato (el formato se definirá por la distancia de la carrera y la categoría de los participantes) en el mismo país en 2021, o para la edición 2022 del evento cancelado de 2021.

Artículo 7: posibles aplazamientos
Xchange Sport & Event AG puede ofrecer, a su entera discreción, opciones no obligatorias que permitan al cliente aplazar su entrada a otra persona o a otro evento. El cliente es consciente y reconoce que no tiene derecho a un aplazamiento. Xchange Sport & Event AG se reserva explícitamente el derecho a no ofrecer aplazamientos por cualquier motivo. El procedimiento de aplazamiento se definirá en el sitio web del evento, así como las condiciones y los costes de los aplazamientos. Xchange Sport & Event AG se reserva el derecho de definir y/o actualizar los términos y costes de los aplazamientos en cualquier momento. Los presentes términos y condiciones se aplican también a la reserva de un aplazamiento. En caso de cesión a otra persona, el primer comprador se compromete a indemnizar y eximir de responsabilidad a Xchange Sport & Event AG si este último - por las razones que sean - no acepta/no acepta legalmente estos Términos y Condiciones o no ha aceptado/no acepta legalmente la Renuncia. El primer comprador es responsable ante Xchange Sport & Event AG de que la persona que se hace cargo de la entrada cumpla sus obligaciones de pago con Xchange Sport & Event AG. En cualquier caso, Xchange Sport & Event AG se reserva el derecho de rechazar a la persona que recibe una entrada transferida en virtud de un aplazamiento sin dar razones y sin compensación al primer comprador.

Artículo 8: Responsabilidades y derechos de imagen
Al confirmar el pedido, el cliente declara comprender plenamente los riesgos y las circunstancias excepcionales relacionadas con la participación en dicho evento deportivo:
• El cliente concede pleno permiso a Xchange Sport & Event AG, XChange Holding AG, Spartan Race, Inc. y sus respectivas empresas matrices, subsidiarias, afiliadas y entidades con licencia (en adelante, las "Partes Exoneradas") para el uso de fotografías, imágenes, vídeos, fotos de movimiento, grabaciones o cualquier otro registro de las actividades que forman parte de los Eventos en cualquier propósito legítimo, a perpetuidad, y que no habrá ninguna compensación a cambio.
• El cliente concede la autorización gratuita para la publicación de películas, vídeos y grabaciones de la actuación en relación con el evento y la posterior difusión y utilización de los mismos medios de forma gratuita en la forma que las Partes Exoneradas consideren oportuna. Esta autorización incluirá el derecho ilimitado a cobrar el uso apropiado por parte de las Partes Liberadas del nombre, apodo, imagen, voz, foto, firma facsímil e información biográfica del cliente como parte del evento. El cliente reconoce que las Partes Exoneradas y sus representantes tienen el derecho ilimitado en el universo de los derechos de autor de utilizar, reutilizar, publicar, volver a publicar, difundir y distribuir de cualquier otra manera la totalidad o parte del evento en el que el cliente pueda aparecer en programas de radio, red, cable y televisión local, así como en todos los materiales impresos y en cualquier otro formato o medio (incluidos los medios electrónicos) conocido en la actualidad o desarrollado en lo sucesivo a perpetuidad y sin compensación. Como contrapartida y a cambio de la autorización para asistir al evento, el cliente se compromete y acepta no demandar a las Partes Exoneradas por todas las reclamaciones actuales y futuras relativas a la participación del cliente en los eventos, que pueden ser realizadas por el cliente, su familia, los herederos del patrimonio del cliente o sus cesionarios.
• Al inscribirse en la carrera, el cliente se compromete a cumplir con todas las reglas del evento que están disponibles en el sitio web. Recibirá un chip de cronometraje para la carrera, y el cliente reconoce que debe llevarlo como se indica en la sanción de descalificación. Es consciente de que el cliente debe devolver el chip de cronometraje a los organizadores después de la carrera. En caso de que el cliente no pudiera devolver este chip de cronometraje, el cliente es consciente de que el organizador tiene derecho a cobrar al cliente el precio del mismo.

Artículo 9: Responsabilidad
La renuncia/exención de responsabilidad firmada por el cliente/comprador en el proceso de compra de la entrada es parte integrante de estas Condiciones Generales.

Artículo 10: Derecho aplicable en caso de litigio
Las presentes Condiciones Generales están sujetas al derecho de Liechtenstein. En caso de litigio, serán competentes los tribunales de Liechtenstein. Las partes también podrán hacer valer sus reclamaciones ante cualquier otro tribunal competente.

Artículo 11: Propiedad intelectual
Todos los elementos del sitio web del evento son y siguen siendo propiedad intelectual exclusiva de Xchange Sport & Event AG y Spartan Race, Inc. (una corporación de Delaware, Estados Unidos). Nadie está autorizado a reproducir, utilizar, reenviar o utilizar para cualquier propósito, incluso parcialmente, los elementos del sitio, ya sea de software, visual o de sonido. Cualquier enlace o hipervínculo está estrictamente prohibido sin el consentimiento expreso por escrito de la empresa Xchange Sport & Event AG.

Artículo 12: Datos personales
La empresa Xchange Sport & Event AG se reserva el derecho de recoger información personal y datos personales. Son necesarios para gestionar el pedido del cliente y para mejorar los servicios y la información que enviamos al cliente. Xchange Sport & Event AG comparte la información y los datos personales con sus empresas matrices, afiliadas, entidades licenciantes, incluyendo, sin limitación, OCR US Holdings, Inc. (una corporación de Delaware, EE.UU.) y Spartan Race, Inc. (una corporación de Delaware, EE.UU.). La información y los datos personales también pueden ser enviados a empresas que contribuyen a estas relaciones, como las encargadas de la ejecución de servicios y pedidos para su gestión, ejecución, procesamiento y pago. Esta información y datos también se almacenan con fines de seguridad, para cumplir con las obligaciones legales y reglamentarias. De acuerdo con la ley, el cliente tiene derecho a acceder, rectificar y oponerse a la información personal y a los datos personales sobre el cliente, directamente en el sitio web. Xchange Sport & Event AG cumple con la legislación de la UE y de Suiza en lo que respecta a la recopilación y la seguridad de los datos. Xchange Sport & Event AG tiene derecho a utilizar estos datos para fines de marketing, pero no los presenta públicamente ni los entrega a otras partes que no sean para la ejecución del evento.

Artículo 13: Archivo de pruebas
La empresa Xchange Sport & Event AG archivará las órdenes de compra y las facturas en un soporte fiable y duradero como copia fiel. Todas las partes considerarán los registros de la empresa Xchange Sport & Event AG como prueba de las comunicaciones, pedidos, pagos y transacciones entre las partes.

Artículo 14: Seguros
Los eventos de Spartan Race y Spartan Trail son eventos de un alto nivel de riesgo (véase también la renuncia mencionada en el artículo 8). Deben estar asegurados de la mejor manera posible. Dado que los eventos no pertenecen a ninguna federación deportiva, las licencias deportivas no son válidas a efectos del seguro individual durante nuestros eventos. Proponemos al cliente un seguro individual de accidentes y un seguro de traslado médico para que el cliente tenga la certeza de estar asegurado ante cualquier accidente que no sea responsabilidad del organizador. Esto no es obligatorio, pero es responsabilidad personal del cliente comprobar que tiene todos los seguros solicitados con los seguros privados personales del cliente en relación con el propósito de accidente individual o el propósito de transferencia médica para este tipo de evento. El organizador no podrá exigir ningún tipo de gasto económico relacionado con estos temas. Este seguro es accesible durante el proceso de inscripción y es intransferible y no reembolsable.

Artículo 15: Reglamento
La Spartan Race y la Spartan Trail como eventos deportivos tienen un reglamento que se aplica durante la carrera. Al participar en este evento, el cliente reconoce haber leído y aceptado las normas que rigen el comportamiento del cliente y su participación en este evento. Los reglamentos son accesibles durante el proceso de inscripción, en la página web y enviados al cliente por correo electrónico antes de cada carrera.

Artículo 16: Interpretación
Las presentes condiciones, así como otras informaciones contractuales, están disponibles tanto en español como en inglés. En cualquier caso de inconsistencia entre la versión española y la inglesa prevalecerá la versión española.

PROMOTIONS

In addition to these Terms, any sweepstakes, contests, games, or similar promotions (collectively, “Promotions”) made available through or in connection with the Services may be governed by specific rules that are separate from these Terms. By participating in any such Promotion, you will become subject to those rules, which may vary from the terms and conditions set forth under these Terms. Spartan urges you to review any specific rules applicable to a particular Promotion, which will be linked from such Promotion. We also urge you to review our Privacy Policy, which, in addition to these Terms, governs any information you submit in connection with such activities. To the extent such rules conflict with these Terms, such rules shall control with respect to the particular Promotion.

PARENTAL CONSENT

We will NOT knowingly collect, use, or distribute personal information from children under the age of 13 without prior verifiable consent from a parent or guardian. We cannot, however, prohibit minors from visiting or using the Spartan Websites, Apps, and/or Spartan Social Media channels, and must rely on parents and guardians to decide what materials are appropriate for children to view and purchase. There are parental control protections (such as computer hardware, software, or filtering services) available that may assist you in limiting access to material that is harmful to minors. You can find information about parental controls at http://onguardonline.gov, and https://www.consumer.ftc.gov/articles/0031-protecting-your-childs-privacy-online. We do not endorse the products or services listed at this website.

INDEMNIFICATION

YOU AGREE TO INDEMNIFY, DEFEND, AND HOLD HARMLESS US, OUR THIRD PARTY SERVICE PROVIDERS AND OUR AND THEIR RESPECTIVE DIRECTORS, OFFICERS, EMPLOYEES, AND AGENTS, FROM AND AGAINST ALL CLAIMS, DAMAGES, LOSSES AND COSTS THAT ARISE FROM OR RELATE TO YOUR ACTIVITIES ON OR THROUGH OR IN CONNECTION WITH THE SERVICES, ANY POSTS SUBMITTED BY OR ON BEHALF OF YOU OR YOUR VIOLATION OF THESE TERMS, AND WITH RESPECT TO ANY TERMS INCORPORATED HEREIN SUCH AS IN CONNECTION WITH SPARTAN RACES.

Our Services may contain links to third-party websites or services (“Third-Party Sites”) that are not owned, controlled, or endorsed by us. We have no control over, and assume no responsibility for the content, privacy policies, or practices of Third-Party Sites. We do not warrant the offerings of any Third-Party Sites. ACCESS AND USE OF THIRD-PARTY SITES, INCLUDING THE INFORMATION, MATERIAL, CONTENT, PRODUCTS, AND SERVICES ON LINKED SITES OR AVAILABLE THROUGH THIRD-PARTY SITES, IS SOLELY AT YOUR OWN RISK. IP OWNERSHIP – RESTRICTION OF USE – INFRINGEMENT

The information and materials provided on, through, or in connection with the Services, including any content, data, text, designs, graphics, images, photographs, illustrations, audio and video clips, logos, icons, and links (collectively, the “Materials”) are owned exclusively by Spartan or its licensors, and are intended to educate and inform you about the Events and the Services. Subject to your compliance with these Terms, you may use the Materials solely for your personal, non-commercial use, provided that you do not remove any copyright or other proprietary notices contained therein. Subject to your compliance with these Terms, we grant you a limited license to use the Services and Materials for your personal use only; provided that you may not use, reproduce, modify, display, publicly perform, distribute, create derivative works of or circumvent any technological measure that effectively controls access to the Services and/or Materials in any way including, without limitation, by manual or automatic device or process, for any purpose. Notwithstanding anything to the contrary herein, all rights not specifically granted in the license set forth above shall be reserved and remain always with Spartan. Use of the Services and Materials for any purpose other than as expressly authorized in these Terms is a violation of our copyrights and other proprietary rights, and is strictly prohibited.

The trademarks, logos, and service marks displayed in connection with the Services (collectively the “Trademarks”) are the registered and unregistered trademarks of Spartan and Spartan’s advertisers, licensors, sponsors, suppliers, and others. The Trademarks owned by Spartan, whether registered or unregistered, may not be used in connection with any product or service that is not offered by Spartan, in any manner that is likely to cause confusion with customers, or in any manner that disparages Spartan. Nothing contained on the Spartan Websites, Apps, and Spartan Social Media channels should be construed as granting, by implication, estoppel or otherwise, any license or right to use any Trademark without the express written permission of Spartan, Spartan’s licensors or suppliers, or the third-party owner of any such Trademark. Misuse of any Trademarks is prohibited, and Spartan will aggressively enforce its intellectual property rights in such Trademarks, including via civil and criminal proceedings. You further acknowledge that the Services contain software and other content that is protected by copyrights, patents, trademarks, trade secrets or other proprietary rights, and that these rights are valid and protected in all forms, media and technologies existing now or hereafter developed. All content provided to us by third parties, is copyrighted individually and/or as a collective work under the U.S. copyright laws and all applicable international copyright (or equivalent) laws in all jurisdictions and protected under other intellectual property laws worldwide; further, as between you and us, we own intellectual property rights in the selection, coordination, arrangement and enhancement of all content in the Services.

We respect the intellectual property of others, and we ask our users to do the same. Each user is responsible for ensuring that their Posts do not infringe any third party's right or other intellectual property rights. ARBITRATION AGREEMENT & CLASS ACTION WAIVER – IMPORTANT – PLEASE REVIEW AS THIS MAY AFFECT YOUR LEGAL RIGHTS. APPLICABLE TO THE FULL EXTENT PERMITTED BY LAW.

Initial Dispute Resolution and Notification. You and we agree that, prior to initiating an arbitration or other legal proceeding, you and we will attempt to negotiate an informal resolution of the Dispute. To begin this process, and before initiating any arbitration or legal proceeding against us, you must send a Notice of Dispute (“Notice”) by certified mail to the attention of our Legal Department at the address set out in Section 21 of these Terms. For purposes of these Terms, initiating an arbitration means filing an arbitration demand (“Demand”).

Your Notice to us must contain all of the following information: (1) your full name, address, username, and the email address associated with your account for the Services; (2) a detailed description of the nature and basis of the Dispute; (3) a description of the relief you want, including any money damages you request; and (4) your signature verifying the accuracy of the Notice and, if you are represented by counsel, authorizing us to disclose information about you to your attorney.

After receipt of your Notice, you and we shall engage in a good-faith effort to resolve the dispute for a period of 60 days, which both sides may extend by written agreement (“Informal Dispute Resolution Period”). During the Informal Dispute Resolution Period, neither you nor we may initiate an arbitration or other legal proceeding.

If the Dispute is not resolved during the Informal Dispute Resolution Period, you may initiate an individual arbitration as provided below.

Mediation. If a dispute arises out of or relates to these Terms, or the Participant’s involvement in an Event, and if said dispute cannot be resolved or settled through negotiation, Participant, individually and on behalf of all of her/his heirs, personal representatives, executors, successors and assigns, agrees that prior to the filing of any arbitration, or other legal action consistent with the provisions of these Terms, that Participant will first attempt, in good faith, to settle the dispute by non-binding mediation administered by JAMS Mediation, Arbitration and ADR Services (“JAMS”). The mediation shall take place in Boston, Massachusetts, and shall be facilitated by a neutral appointed JAMS. The costs of such mediation shall be shared equally by the parties thereto.

Arbitration. All controversies, disputes or claims arising out of or related to these Terms, to the extent not first resolved through negotiation and mediation, will be submitted to and for binding arbitration in front of a single arbitrator of JAMS, conducted in accordance with JAMS’ then-current General Arbitration Rules and Procedures (which shall include the applicability of JAMS’ Consumer Arbitration Minimum Standards), at the JAMS’ offices in Boston, Massachusetts. All matters related to arbitration will be governed by the Federal Arbitration Act (9 U.S.C. §§1 et seq.) and not by any state arbitration law.

The arbitrator will have the right to award or include in the award any relief which the arbitrator deems proper in the circumstances, except that the arbitrator does not have the right to award exemplary, punitive, penal or multiple (e.g., double or treble) damages. The award and decision of the arbitrator will be conclusive and binding upon all parties hereto and judgment upon the award may be entered solely in the United States District Court for the District of Massachusetts. If Spartan is the prevailing party in any arbitration brought by you, you agree to reimburse Spartan for any arbitration costs and fees incurred by Spartan (except if you are resident of the State of California).

The arbitrator will not have the authority or right to add to, delete, amend, or modify the terms, conditions, or provisions of these Terms. All findings, decisions and awards of the arbitrator will be limited to the dispute(s) set forth in the written demand for arbitration (and any submitted counterclaim), and the arbitrator will not have authority to decide any other issues unless the parties to the arbitration mutually agree thereto.

Participant, individually and on behalf of all of her/his heirs, personal representatives, executors, successors and assigns, acknowledges and agrees that any arbitration will be conducted only on any individual, not a class-wide, basis (as further described below), and that an arbitration proceeding initiated by Participant and/or her/his heirs, personal representatives, executors, successors and assigns, may not be consolidated with any other arbitration proceeding. No findings, conclusions, orders or awards emanating from any arbitration proceeding conducted hereunder may be introduced, referred to, or used in any subsequent or other proceeding as a precedent, to collaterally estop any party from advancing any claim or defense or from raising any like or similar issues, or for any other purpose whatsoever. The principles of collateral estoppel shall not apply in any arbitration proceeding conducted under this section.

Further, Participant, individually and on behalf of all of her/his heirs, personal representatives, executors, successors and assigns, acknowledges and agrees that notwithstanding any provision of law which provides for a longer limitations period, neither Participant nor Participant’s heirs, personal representatives, executors, successors and assigns will bring, commence, or maintain an action or claim of any kind, in connection with liability or obligation in connection with these Terms, or otherwise, unless brought before the expiration of the earlier of: (i) one (1) year after the date of discovery of the facts resulting in such alleged liability or obligation, or if earlier, the date such facts should or could have been discovered with reasonable diligence; or (ii) eighteen (18) months after the date of the first act or omission giving rise to such alleged liability or obligation. Actions and claims brought or asserted after expiration of the applicable limitations period shall be barred.

Class Action Waiver. YOU AND WE AGREE THAT, TO THE FULLEST EXTENT PERMITTED BY LAW, EACH OF US MAY BRING CLAIMS (WHETHER IN COURT OR IN ARBITRATION) AGAINST THE OTHER ONLY IN AN INDIVIDUAL CAPACITY, AND NOT AS A PLAINTIFF, CLAIMANT, OR CLASS MEMBER IN ANY PURPORTED CLASS, COLLECTIVE, CONSOLIDATED, COORDINATED, PRIVATE ATTORNEY GENERAL, REQUEST FOR PUBLIC INJUNCTIVE RELIEF, OR REPRESENTATIVE PROCEEDING. This also means that you and we may not participate in any class, collective, consolidated, coordinated, private attorney general, request for public injunctive relief, or representative proceeding brought by any third party.  Notwithstanding this provision or any other language in these Terms, you or we may participate in a class-wide settlement. TO THE FULLEST EXTENT PERMITTED BY LAW, YOU AND WE WAIVE ANY RIGHT TO A JURY TRIAL.

Severability. If any portion of this Section 17 is found to be void, invalid, or otherwise unenforceable, then that portion shall be deemed to be severable and, if possible, superseded by a valid, enforceable provision, or portion thereof, that matches the intent of the original provision, or portion thereof, as closely as possible. The remainder of Section 17 and all other Terms shall continue to be enforceable and valid.

GOVERNING LAW AND JURISDICTION

These Terms shall be governed by the laws of the State of Delaware, United States of America, without regard to principles of conflicts of law. The Uniform Commercial Code, the Uniform Computer Information Transaction Act, and the United Nations Convention of Controls for International Sale of Goods shall not apply. Exclusive jurisdiction for all Disputes that are not required to be arbitrated will be the state and federal courts located in the State of Delaware, United States of America, and you consent to the jurisdiction of those courts.

INTERPRETATION; SEVERABILITY; WAIVER; REMEDIES

Headings are for convenience only and shall not be used to construe these Terms. If any term of these Terms is found invalid or unenforceable by any court of competent jurisdiction, that term will be severed from these Terms. No failure or delay In exercising any right hereunder will waive any further exercise of that right. The waiver of any such right or provision will be effective only if in writing and signed by our duly authorized representative. Our rights and remedies hereunder are cumulative and not exclusive.

SUCCESSORS; ASSIGNMENT; NO THIRD PARTY BENEFICIARIES

These Terms are binding upon and will inure to the benefit of both parties and their respective successors, heirs, executors, administrators, personal representatives, and permitted assigns. You may not assign or transfer these Terms without our prior written consent. We may assign its rights, obligations and/or these Terms at any time in its sole discretion without notice to you.

Nothing in these Terms or otherwise limits our right to object to subpoenas, claims, or other demands.

MODIFICATION

We may update these Terms at any time, in our sole discretion. If we do so, we will let you know by, at a minimum, posting the updated Terms on the Services and indicating as much at the top of these Terms. Modifications will be effective on the date that they are posted. It is important that you review the Terms whenever we update them before you use the Services. If you continue to use the Services after we have posted updated Terms, you are agreeing to be bound by the updated Terms. If you don't agree to be bound by the updated Terms, then you may not use the Services anymore. Because the Services evolve over time we may change or discontinue all or any part of the Services, at any time and without notice, at our sole discretion.

ENTIRE AGREEMENT

These Terms represent the entire understanding between us and you regarding the Services or Content and supersede all prior agreements and understandings regarding the same. These Terms incorporate and apply to any separate terms and conditions that you agree to in connection with the purchase or use of any Services, goods or other services and the privacy policy. If any provision of these Terms is held invalid or unenforceable by an arbitrator or a court of competent jurisdiction, that provision will be enforced to the maximum extent permissible and the other provisions of these Terms will remain in full force and effect.

FORCE MAJEURE

Neither Party shall be liable for any failure or delay in performance under these terms (other than for delay in the payment of money due and payable in accordance with these terms) for causes beyond the party's reasonable control and not caused by that party's fault, or negligence, including, but not limited to, "acts of nature", acts of government, flood, fire, civil unrest, acts of terror, strikes or other labor problems, computer attacks or malicious acts, such as attacks on or through the internet, any internet service provider, telecommunications or hosting facility, but in each case, only if and to the extent that the non-performing Party is without fault in causing such failure or delay, and the failure or delay could not have been prevented by reasonable precautions and measures and cannot reasonably be circumvented by the non-conforming Party through the use of alternate sources, workaround plans, disaster recovery, business continuity measures or other means. Dates by which performance obligations are scheduled to be met will be extended for a period of time equal to the time lost due to any delay so caused.
